1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FrenFlow Projects Ltd ("FrenFlow," "Company," "we," "us," or "our"), an International Business Corporation (IBC) incorporated in Nevis under registration number C 63555, with its registered office at Suite 5, Horsford's Business Centre, Long Point Road, Charlestown, Nevis.

By accessing or using the FrenFlow platform, website at https://www.frenflow.com, mobile applications, APIs, or any related services (collectively, the "Platform" or "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules referenced herein. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

Your continued use of the Platform after any modifications to these Terms constitutes your acceptance of such changes. We reserve the right to modify these Terms at any time, and will provide notice of material changes through the Platform or via the email address associated with your account.

2. Eligibility

By using the Platform, you represent and warrant that:

• You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater.
• You have the legal capacity and authority to enter into these Terms.
• You are not located in, or a citizen or resident of, any jurisdiction where access to or use of the Platform or blockchain-based prediction markets would be illegal or otherwise prohibited.
• You are not subject to any sanctions administered by the United States (OFAC), the European Union, the United Nations, or any other applicable governmental authority.
• Your use of the Platform will comply with all applicable laws, regulations, and rules in your jurisdiction.
• You will not use the Platform on behalf of any third party, or for any unlawful purpose.

FrenFlow reserves the right to request proof of age or identity at any time and to suspend or terminate access if we reasonably believe any eligibility requirement is not met.

3. Geographic Restrictions and Geoblocking

FrenFlow integrates with third-party prediction market platforms, including but not limited to Polymarket, Kalshi, Predict.fun, and any other prediction market, exchange, or service accessible through FrenFlow (collectively, "Third-Party Platforms"). Each Third-Party Platform imposes its own geographic restrictions, eligibility requirements, and compliance obligations.

You acknowledge and agree that:

• You are solely responsible for determining whether you are legally permitted to access and use each Third-Party Platform from your jurisdiction, based on your location, citizenship, residency, and applicable local laws.
• FrenFlow may implement IP-based geographic restrictions ("geoblocking") to restrict access to certain features or Third-Party Platform integrations from jurisdictions where such access is prohibited, restricted, or where the Third-Party Platform itself restricts access.
• If your IP address originates from a country or territory that is geoblocked by any Third-Party Platform, you are strictly prohibited from accessing, using, or attempting to use any trading, order placement, or transaction features related to that Third-Party Platform through FrenFlow.
• The use of virtual private networks (VPNs), proxy servers, or any other technology to circumvent geographic restrictions is expressly prohibited and constitutes a material breach of these Terms.
• FrenFlow does not guarantee that its geoblocking measures are comprehensive or error-free. The absence of a geoblocking restriction does NOT constitute permission, legal advice, or a representation that access is lawful in your jurisdiction.
• You bear full responsibility for compliance with all laws applicable to your use of Third-Party Platforms, regardless of whether FrenFlow actively blocks your access.
• FrenFlow shall not be liable for any losses, penalties, legal proceedings, or consequences arising from your access to or use of Third-Party Platforms in violation of their geographic restrictions, terms of service, or applicable law.

Restricted jurisdictions include, without limitation: any country, territory, or region where prediction markets, binary options, event contracts, or similar instruments are prohibited or restricted by law, including but not limited to jurisdictions subject to comprehensive sanctions by the United States (OFAC), the European Union, or other international bodies. Specific Third-Party Platforms may impose additional geographic restrictions beyond those enforced by FrenFlow.

FrenFlow reserves the right to modify, expand, or update geographic restrictions at any time without prior notice, in response to changes in applicable laws, Third-Party Platform policies, or regulatory guidance.

4. Platform Description

FrenFlow is a Software-as-a-Service (SaaS) platform that provides data analytics, visualization tools, social features, and community functionality around publicly available blockchain-based prediction market data. The Platform aggregates, processes, and displays information from public blockchain networks and third-party decentralized prediction market protocols.

The Platform does NOT:

• Hold, manage, store, transmit, or custody any user funds, digital assets, or cryptocurrencies.
• Operate as a broker, dealer, exchange, custodian, lending platform, or financial intermediary of any kind.
• Execute, facilitate, or process any financial transactions on your behalf.
• Provide investment advice, financial advice, tax advice, or trading recommendations.
• Guarantee the accuracy, completeness, or timeliness of any market data or analytics.
• Act as an agent, fiduciary, or representative for any user.

All interactions with blockchain networks, smart contracts, and third-party prediction market platforms (such as Polymarket, Kalshi, or similar services) are conducted directly by you, through your own wallets and accounts, and at your sole discretion and risk.

5. Account Terms

To access certain features of the Platform, you may be required to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration and keep such information up to date.
• Maintain the confidentiality and security of your account credentials, including passwords, private keys, and authentication tokens.
• Accept full responsibility for all activities that occur under your account.
• Immediately notify FrenFlow of any unauthorized use of your account or any security breach.
• Not share, sell, transfer, or otherwise grant access to your account to any third party.

FrenFlow is not liable for any loss or damage arising from your failure to comply with these account security obligations. We reserve the right to suspend or terminate accounts that are inactive, in violation of these Terms, or associated with fraudulent activity.

6. No Financial Advice

Nothing on the Platform constitutes financial, investment, legal, or tax advice. All data, analytics, charts, metrics, statistics, rankings, community posts, discussions, and any other information presented on or through the Platform are provided solely for informational and educational purposes.

You acknowledge and agree that:

• Any decision to interact with prediction markets, purchase or sell outcome tokens, or engage in any blockchain transaction is made entirely at your own discretion and risk.
• Past performance data, analytics, or user rankings displayed on the Platform are not indicative of future results.
• You should consult with a qualified financial advisor, attorney, or tax professional before making any financial decisions.
• FrenFlow does not endorse, recommend, or promote any particular market, outcome, trading strategy, or financial product.

7. Non-Custodial Platform — No Custody of Funds

FrenFlow is a strictly non-custodial platform. FrenFlow does not hold, custody, control, manage, store, transmit, or have access to your funds, digital assets, private keys, seed phrases, or wallet credentials at any time. All blockchain wallets associated with your account are created and managed through third-party embedded wallet providers (such as Privy) and are owned and controlled exclusively by you.

CRITICAL — PRIVATE KEY RESPONSIBILITY:

• You are solely and exclusively responsible for exporting, backing up, and securely storing your private key(s) and/or seed phrase(s). FrenFlow provides the ability to export your private key through the Platform settings. It is your responsibility to do so and to store it in a safe, secure, and private location.
• FrenFlow does NOT have the ability to recover, reset, or restore your account, wallet, or access credentials in any circumstances. If you lose your private key, seed phrase, or access to your authentication method (email, social login, etc.), your funds may be permanently and irreversibly lost.
• FrenFlow will never ask for your private key. Any request for your private key outside of the Platform's official export functionality should be treated as a scam or phishing attempt.

You are solely responsible for:

• Exporting and securely backing up your private keys and wallet credentials immediately upon account creation.
• The security, confidentiality, and management of your private keys, seed phrases, and authentication credentials.
• All transactions initiated from your wallet(s), whether or not facilitated through the Platform interface.
• Understanding the risks associated with blockchain transactions, including but not limited to irreversibility, gas fees, network congestion, and smart contract vulnerabilities.
• Any loss of funds due to user error, lost private keys, phishing, unauthorized access, smart contract exploits, or third-party platform failures.

BY USING THE PLATFORM, YOU ACKNOWLEDGE AND ACCEPT THAT FRENFLOW HAS NO MEANS WHATSOEVER TO RECOVER YOUR ACCOUNT OR FUNDS IF YOU LOSE ACCESS TO YOUR PRIVATE KEY OR AUTHENTICATION CREDENTIALS. THIS RISK IS INHERENT TO NON-CUSTODIAL, BLOCKCHAIN-BASED PLATFORMS AND IS ACCEPTED BY YOU AS A CONDITION OF USE.

8. Third-Party Platforms and Services

The Platform may integrate with, reference, or display data from third-party services, including but not limited to blockchain networks (such as Polygon/Ethereum), prediction market protocols (such as Polymarket), authentication services (such as Privy), and other decentralized or centralized services.

FrenFlow is not responsible for:

• The availability, accuracy, security, or performance of any third-party service.
• Any losses arising from your interaction with third-party smart contracts, protocols, or platforms.
• Changes to, downtime of, or discontinuation of any third-party service.
• The terms of service, privacy practices, or conduct of any third-party provider.
• Any bugs, vulnerabilities, exploits, or failures in third-party smart contracts or protocols.

Your use of any third-party service is governed by that third party's own terms and policies, which you are solely responsible for reviewing and understanding.

9. User Responsibilities

You are solely responsible for:

• Determining whether your use of the Platform and any related activities comply with applicable laws and regulations in your jurisdiction.
• All tax obligations arising from your activities, including any transactions you conduct on third-party platforms.
• Your own investment decisions, trading activities, and financial outcomes.
• Maintaining adequate security measures for your devices, accounts, and wallets.
• Understanding the risks inherent in blockchain technology, cryptographic assets, and prediction markets.

10. Prohibited Uses

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in money laundering, terrorist financing, fraud, or any other illegal financial activity.
• Manipulate or attempt to manipulate market data, rankings, or analytics displayed on the Platform.
• Interfere with, disrupt, or overload the Platform's infrastructure, servers, or networks.
• Use bots, scrapers, or automated tools to access the Platform in a manner that exceeds reasonable use or violates rate limits, without prior written consent.
• Attempt to gain unauthorized access to any portion of the Platform, other user accounts, or related systems.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
• Use the Platform to harass, abuse, defame, or threaten other users.
• Upload or transmit malicious code, viruses, or any other harmful content.
• Circumvent or attempt to circumvent any access controls, security measures, or usage restrictions.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Use the Platform for any purpose that is not expressly permitted by these Terms.

11. Intellectual Property

All content, software, code, designs, graphics, logos, trademarks, service marks, trade names, text, images, data compilations, and other materials on the Platform (collectively, "FrenFlow Content") are the exclusive property of FrenFlow Projects Ltd or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and FrenFlow Content solely for your personal, non-commercial use in accordance with these Terms. You may not:

• Copy, reproduce, distribute, modify, create derivative works from, publicly display, or publicly perform any FrenFlow Content without prior written consent.
• Use any FrenFlow trademarks, logos, or branding without express authorization.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

User-generated content (such as posts, comments, and community contributions) remains your property, but you grant FrenFlow a worldwide, non-exclusive, royalty-free, perpetual license to use, display, reproduce, and distribute such content in connection with the Platform.

12. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. To the fullest extent permitted by applicable law, FrenFlow expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Any warranty that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
• Any warranty regarding the accuracy, completeness, reliability, timeliness, or availability of any data, analytics, or information displayed on the Platform.
• Any warranty regarding the performance or outcomes of any third-party service, smart contract, blockchain network, or prediction market protocol.

You acknowledge that blockchain technology and prediction markets involve significant inherent risks, including but not limited to the total loss of funds, and that FrenFlow provides no guarantee against such losses.

13. Risk Acknowledgment

By using the Platform, you expressly acknowledge and accept the following risks:

• Market Risk: Prediction market outcomes are inherently uncertain. You may lose some or all of any funds you allocate to prediction market activities through third-party platforms.
• Smart Contract Risk: Blockchain-based protocols rely on smart contracts that may contain bugs, vulnerabilities, or exploits. FrenFlow has no control over and assumes no liability for third-party smart contracts.
• Regulatory Risk: The legal and regulatory landscape for blockchain technology and prediction markets varies by jurisdiction and is subject to change. You are responsible for ensuring compliance with all applicable laws.
• Technology Risk: Blockchain networks may experience congestion, forks, outages, or other disruptions that can affect transactions and data accuracy.
• Cybersecurity Risk: Despite security measures, no system is immune to hacking, phishing, or other cyberattacks. You are responsible for the security of your own accounts and devices.
• Data Accuracy Risk: While FrenFlow endeavors to provide accurate data, we do not guarantee the accuracy or completeness of any information displayed. Data may be delayed, incomplete, or erroneous due to third-party source limitations.
• Counterparty Risk: Third-party platforms, services, and protocols may fail, become insolvent, or otherwise become unable to fulfill their obligations.
• Liquidity Risk: Markets may lack sufficient liquidity for you to enter or exit positions at desired prices.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FRENFLOW, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, goodwill, or other intangible losses.
• Any loss of funds, digital assets, or cryptocurrencies, regardless of cause.
• Any damages resulting from unauthorized access to, or alteration of, your account, transmissions, or data.
• Any damages resulting from the conduct of any third party on or related to the Platform.
• Any damages arising from your reliance on any data, analytics, or information provided through the Platform.
• Any damages arising from the failure, malfunction, or exploitation of any third-party smart contract, protocol, or service.
• Any losses resulting from hacks, exploits, or security breaches of any kind, whether of FrenFlow, third-party services, or your own devices.
• Any losses resulting from market volatility, prediction market outcomes, or trading decisions.
• Any losses resulting from regulatory changes, legal actions, or government enforcement in any jurisdiction.
• Any losses resulting from the actions, trades, or conduct of other users or traders on the Platform or on third-party platforms.
• Any losses resulting from network congestion, gas fees, transaction failures, or blockchain reorganizations.

IN ANY EVENT, FRENFLOW'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO FRENFLOW DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

These limitations apply whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other legal theory, even if FrenFlow has been advised of the possibility of such damages.

15. Indemnification

You agree to indemnify, defend, and hold harmless FrenFlow Projects Ltd, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:

• Your use of, or inability to use, the Platform.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any rights of any third party.
• Any content you submit, post, or transmit through the Platform.
• Your interaction with any third-party platform, smart contract, or blockchain protocol.
• Any tax liability arising from your activities.

16. Termination

FrenFlow may, in its sole discretion and without prior notice, suspend or terminate your access to the Platform, in whole or in part, for any reason, including but not limited to:

• Violation of these Terms or any applicable law.
• Conduct that FrenFlow reasonably believes may cause harm to the Platform, other users, or third parties.
• Requests from law enforcement or other governmental authorities.
• Extended periods of inactivity.
• Discontinuation or material modification of the Platform.

Upon termination, your right to access and use the Platform will immediately cease. Sections that by their nature should survive termination shall survive, including but not limited to: Disclaimers, Limitation of Liability, Indemnification, Intellectual Property, Governing Law, and Dispute Resolution.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federation of Saint Christopher and Nevis, without regard to its conflict of law principles. Any reference to the "laws of Nevis" shall mean the applicable laws of the Federation of Saint Christopher and Nevis as they apply to the Island of Nevis.

18. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days following written notice of the dispute.

If the dispute cannot be resolved through negotiation, either party may submit the dispute to binding arbitration administered in accordance with the rules of the relevant arbitration authority agreed upon by the parties, with the seat of arbitration in Charlestown, Nevis. The language of arbitration shall be English. The arbitral award shall be final and binding upon both parties.

CLASS ACTION WAIVER: To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against FrenFlow.

19. Amendments

FrenFlow reserves the right to modify, amend, or update these Terms at any time. Material changes will be communicated via the Platform or email with reasonable advance notice. Your continued use of the Platform after such changes take effect constitutes your acceptance of the revised Terms. If you do not agree with any modification, your sole remedy is to discontinue use of the Platform.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

21. Waiver

The failure of FrenFlow to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of FrenFlow.

22. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of FrenFlow. FrenFlow may freely assign, transfer, or delegate its rights and obligations under these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.

23. Force Majeure

FrenFlow shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, blockchain network disruptions, or any other events that are unforeseeable or unavoidable.

24. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and FrenFlow regarding the use of the Platform and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral.
